Overview

Debra Mastrian represented a closely-held business and majority shareholders in lawsuits (direct and derivative actions) brought by minority shareholders for breach of fiduciary duties  - obtained dismissal of lawsuit by minority shareholders after filing a motion to dismiss following the report of a special litigation committee. She provided counsel through the special litigation committee process and litigation. She successfully argued, among other things that the minority shareholders could not bring a direct action against the corporation because it would expose the majority shareholders to a multiplicity of actions arising from the same matters and creditors would be prejudiced, and that the derivative action was precluded under Indiana’s business statute.  Successfully defended the trial court’s dismissal on appeal.
